1. Services Offered
Monkey Ninja provides digital marketing services, including but not limited to branding, content creation, SEO, social media management, performance marketing, website development, email campaigns, and strategic consulting. All services are subject to change or discontinuation at our discretion.
2. Client Responsibilities
The client agrees to provide accurate and timely information, materials, access, and feedback necessary for the execution of services. Delays caused by the client may affect delivery timelines and will not be the responsibility of Monkey Ninja.
3. Project Timelines & Delivery
Project timelines will be mutually agreed upon at the time of onboarding. While we strive to meet all deadlines, timelines may vary based on project scope, revision cycles, and client responsiveness. Monkey Ninja will not be held liable for delays caused by third parties or force majeure events.
4. Payment Terms
All projects require an advance payment (typically 50%) before work commences, unless otherwise agreed in writing. The remaining balance is due upon final delivery or milestone completion. Services may be paused if payments are delayed beyond agreed terms.
5. Accepted Payment Methods
We accept payments via credit/debit cards, UPI, bank transfer (NEFT/IMPS), and other supported digital methods. Payment gateway charges, if any, will be borne by the client.
6. Refunds & Cancellations
Due to the nature of digital services, payments made to Monkey Ninja are non-refundable. Cancellations are not permitted once a project has commenced, unless otherwise agreed in writing. In the case of prepaid retainers, unused time may be adjusted upon mutual agreement.
7. Invoicing & Taxes
All invoices will be issued electronically and include applicable taxes such as GST. Clients are responsible for ensuring timely payment of invoices. Delay in payment may attract a late fee or service suspension.
8. Intellectual Property Rights
All content, designs, strategies, and creative assets developed by Monkey Ninja remain its intellectual property until full payment is received. Upon settlement, ownership of final deliverables (excluding third-party licenses/tools) will be transferred to the client. Monkey Ninja reserves the right to showcase the work in its portfolio unless agreed otherwise.
9. Confidentiality
Both parties agree to maintain strict confidentiality of any proprietary or sensitive information exchanged during the course of the project. Neither party shall disclose such information to third parties without written consent, except as required by law.
10. Revisions & Feedback
Monkey Ninja offers a limited number of revision rounds as specified in the project scope. Additional revisions beyond the agreed limit may incur extra charges. Feedback should be provided within the defined timeframe to avoid project delays.
11. Performance & Results Disclaimer
While Monkey Ninja uses industry best practices to optimize marketing performance, we do not guarantee specific results such as traffic, rankings, conversions, or ROI. Marketing outcomes depend on multiple external factors beyond our control.
12. Third-Party Tools & Platforms
Monkey Ninja may utilize third-party tools, plugins, APIs, or platforms (such as Google Ads, Meta Business Suite, analytics tools, etc.) to deliver services. We are not responsible for changes, downtime, limitations, or data issues caused by these third-party services.
13. Termination of Services
Either party may terminate the engagement with prior written notice of 15 days. In such cases, all work completed up to the termination date will be billed and payable. Monkey Ninja reserves the right to suspend or terminate services due to non-payment, breach of agreement, or misuse.
14. Limitation of Liability
Monkey Ninja shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services. Our total liability shall not exceed the amount paid by the client for the specific project or service in question.
15. Dispute Resolution & Governing Law
Any disputes arising from our services shall first be attempted to be resolved amicably through discussion. If unresolved, disputes will be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, and governed by the laws of India.
16. Updates to Terms
Monkey Ninja reserves the right to modify these Terms & Conditions at any time without prior notice. Continued use of our website or services after changes constitutes acceptance of the updated terms. The latest version will always be available on our website.
